There has been a lot of work happening behind the scenes regarding the NHSSA-NeSSA merger this summer. If you have yet to read about this endeavor, you can catch up here.
Update
NHSSA was encouraged by NeSSA's legal team to retain an attorney to review the documents and ensure that this will be a fair and equal transaction for both parties. The NHSSA board has since engaged with an attorney who is working with both staff and NeSSA's attorney to cross-check all items.
NeSSA has been working with their attorney to create the initial merger documents, outline an estimated timeline, and update what will be both party's new bylaws. We are happy to say that we are nearly complete with these documents and that they will be ready for the first step of board approval soon.
The bylaws have been updated to reflect current state law, cleaned up the list of active committees, updated and clarified the voting process for the Board of Directors, and incorporate policies such as a Conflict of Interest and Member Code of Conduct.
With your support, we are aiming for the merger to go into effect January 1, 2026.
Survey Follow-Up
Thank you to those who participated in the survey regarding this endeavor. There were two main questions that resulted from the survey, which we would like to address.
What will happen to NHSSA's finances?
NHSSA's finances will be withdrawn from its accounts and deposited into NeSSA's bank account, with a memo noting the transfer. NHSSA's bank accounts will then be closed.
This is the same process as with the initial merger between CTSSA and MASSA.
Will there be anyone from NH on the NeSSA Board of Directors?
Both boards desire there be NH-based Directors on the Board. Thankfully, two Directors who operate facilities in New Hampshire offered to continue to serve on the NeSSA Board. These are in addition to a few other Directors who dually sit on both NHSSA's and NeSSA's Boards.
While this is ideal and something we hope continues to happen, the future Board will only have New Hampshire operators as Directors if those willing to volunteer offer their time to serve. The Bylaws of the Association only dictate minimum and maximum number of Directors, as well as number of vendors allowed. It does not outline number of directors from each state as we cannot guarantee anyone from each state will want to volunteer every year.
